Terms and Conditions of Sale
By accessing, using, or purchasing from AusPower (“AusPower”, “we”, “us”, “our”), including through our retail, sourcing, and global fulfilment services, you (“Customer”, “you”, “your”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you must not use our services.
1. Scope of Services
1.1 AusPower operates as a global IT retailer and procurement facilitator, providing access to products through a combination of:
- Third-party sourcing and procurement; and
- International fulfilment and logistics services.
1.2 Depending on the transaction, AusPower may act as:
- An intermediary procuring products on your behalf; or
- A logistics and fulfilment provider only.
1.3 You acknowledge that product origin, warranty coverage, and regulatory compliance may vary depending on the source of supply.
2. Third-Party Products and Supply Chain
2.1 Many products available through AusPower are sourced from third-party manufacturers, distributors, and marketplaces (“Suppliers”).
2.2 Where products are sourced via third parties:
- AusPower does not control manufacturing, packaging, or product specifications;
- Product descriptions, specifications, and images may be provided by Suppliers and may vary;
- Availability is not guaranteed and may change without notice.
2.3 You accept that purchasing internationally sourced products may involve differences in:
- Standards and certifications;
- Voltage, compatibility, or regional specifications;
- Warranty validity across jurisdictions.
3. No Reliance & Product Disclaimer
3.1 To the maximum extent permitted by law, all products are supplied on an “as is” and “as available” basis.
3.2 AusPower does not guarantee:
- Product performance, reliability, or fitness for a particular purpose;
- Compatibility with your existing systems;
- Accuracy or completeness of product descriptions;
- Compliance with local regulations in your jurisdiction.
3.3 You are solely responsible for determining whether a product is suitable for your intended use and compliant with local laws.
4. Warranties
4.1 Any warranties provided are:
- Supplied by the manufacturer or original Supplier; and
- Subject to their terms, conditions, and geographic limitations.
4.2 AusPower does not provide additional warranties beyond those required by applicable law.
4.3 Where legally permitted, all implied warranties are excluded, including:
- Merchantability;
- Fitness for purpose;
- Non-infringement.
5. Limitation of Liability
5.1 To the fullest extent permitted by law, AusPower excludes all liability for:
- Indirect, incidental, or consequential losses;
- Loss of profits, revenue, data, or business opportunities;
- Loss arising from delays, supply disruptions, or third-party failures.
5.2 AusPower is not liable for:
- Actions or omissions of Suppliers, manufacturers, or carriers;
- Product defects, recalls, or failures;
- Customs actions, including delays, inspections, or seizures.
5.3 Where liability cannot be excluded, it is limited to (at our sole discretion):
- Replacement of goods;
- Resupply of services; or
- Refund of the amount paid.
5.4 In all cases, total liability shall not exceed the amount paid for the specific order giving rise to the claim.
6. Orders and Payment
6.1 All orders are subject to acceptance and availability.
6.2 Prices may:
- Fluctuate due to exchange rates, supplier pricing, and market conditions;
- Be displayed in multiple currencies;
- Exclude taxes, duties, and shipping unless stated otherwise.
6.3 Full payment is required prior to processing.
6.4 AusPower reserves the right to:
- Cancel or refuse any order;
- Correct pricing errors;
- Limit quantities.
7. Shipping, Delivery and Risk
7.1 Delivery timeframes are estimates only and not guaranteed.
7.2 Orders may be:
- Shipped from multiple international locations;
- Delivered in separate consignments.
7.3 Risk transfers to you upon:
- Dispatch from the Supplier; or
- Handover to the shipping carrier.
7.4 AusPower is not responsible for:
- Delivery delays;
- Lost or damaged goods in transit (subject to carrier claims);
- Incorrect delivery details provided by you.
8. Customs, Duties and Import Compliance
8.1 You act as the importer of record for all international shipments.
8.2 You are solely responsible for:
- Customs duties and taxes;
- Regulatory compliance;
- Product import restrictions.
8.3 AusPower:
- Does not collect or remit foreign taxes unless required by law;
- Does not guarantee customs clearance;
- Is not responsible for seizures, delays, or additional charges.
8.4 Refusal to pay duties or accept delivery may result in:
- Abandonment of goods;
- No refund being issued.
9. Returns, Refunds and Cancellations
9.1 Returns are subject to:
- Applicable consumer laws; and
- Supplier or manufacturer policies.
9.2 AusPower does not guarantee acceptance of returns for:
- Change of mind;
- Incorrect selection by the customer;
- Compatibility issues.
9.3 Service fees, shipping costs, and handling charges are non-refundable unless required by law.
10. Force Majeure
AusPower is not liable for failure or delay due to events beyond reasonable control, including:
- Natural disasters;
- War, trade restrictions, or sanctions;
- Supply chain disruptions;
- Carrier or logistics failures.
11. Intellectual Property and Content
All content, including product listings and descriptions, is provided for informational purposes only and may be subject to change without notice.
12. General
12.1 These Terms constitute the entire agreement.
12.2 If any provision is found unenforceable, the remaining provisions remain in effect.
12.3 AusPower may update these Terms at any time without prior notice.
13. Disclaimer
AusPower operates within a complex global supply chain and does not control manufacturers, suppliers, or logistics providers.
To the fullest extent permitted by law:
- We accept no responsibility for product performance, suitability, or compliance;
- We do not guarantee uninterrupted service or availability;
- All risks associated with product selection, purchase, importation, and use rest with the customer.
